Welcome to LuxeRx! The terms “we”, “us” and “our” refer to LuxeRx. LuxeRx operates this store and website, including all related information, content, features, tools, products, and services in order to provide you, the customer, with a curated shopping experience (the “Services”). LuxeRx is powered by Shopify, which enables us to provide the Services to you.

The terms and conditions below, together with any policies referenced herein (these “Terms of Service” or “Terms”), describe your rights and responsibilities when you use the Services. By visiting, interacting with, or using our Services, you agree to be bound by these Terms of Service and our Privacy Policy.

SECTION 1 - ACCESS, ACCOUNT, AND AI AGENTS

By agreeing to these Terms of Service, you represent that you are at least the age of majority in your state or province of residence.

Automated Transactions (AP2 Standards): LuxeRx supports secure, automated commerce through the Agent Payments Protocol (AP2). If you use an AI agent or automated assistant to interact with our Services:

You grant that agent the legal authority to enter into a binding purchase contract on your behalf.
Any "Intent" or "Cart" mandate cryptographically signed by your agent is considered a legally binding electronic signature.
For "Human-Not-Present" transactions, the contract is formed at the moment your agent provides a valid AP2-compliant signature to our checkout system.

SECTION 2 - OUR PRODUCTS

All product descriptions, specifications, and images are derived from manufacturer materials and are subject to change without notice. LuxeRx does not guarantee that physical products will strictly match online imagery due to routine manufacturer redesigns, reformulations, or packaging updates. Fulfillment may include earlier packaging or formulation versions, subject to standard expiration and freshness guidelines. It is the customer's responsibility to contact LuxeRx prior to order placement to confirm specific inventory attributes.

SECTION 3 - ORDERS, CANCELLATION, AND FINAL SALE POLICY

When you place an order, you are making an offer to purchase. LuxeRx reserves the right to accept or decline your order for any reason.

ALL SALES ARE FINAL: All items purchased directly from LuxeRx.shop are strictly Final Sale. We do not accept returns, refunds, or exchanges for change of mind or unopened goods.
Order Modifications & Cancellations: Orders cannot be canceled, altered, or rerouted once a tracking number has been generated and issued.
Address Changes: To protect against fraudulent transaction redirects, shipping addresses cannot be manually updated on existing orders. If an address correction is needed prior to fulfillment, the order must be canceled and refunded, and a new order placed with the correct address.
Affiliate & Third-Party Purchases: Items purchased via our affiliate partners or third-party sites are subject to the specific return and refund policies of those respective platforms. LuxeRx cannot process or intervene in returns for orders placed outside of LuxeRx.shop.
Damaged, Defective, or Expired Items: Your purchases are subject to replacement solely in accordance with our Return Policy regarding damaged, defective, or expired goods reported within 48 hours of carrier delivery.

SECTION 4 - PRICES AND BILLING

Prices are subject to change without notice. You represent and warrant that (i) the payment information you provide is true, correct, and complete, and (ii) you are duly authorized to use such payment method for the purchase.

SECTION 5 - SHIPPING AND DELIVERY

We are not liable for shipping and delivery delays. Once we transfer products to the carrier, title and risk of loss pass to you. Delivery timestamps provided by carrier tracking serve as conclusive confirmation of delivery.

SECTION 6 - INTELLECTUAL PROPERTY

Our Services, including trademarks, logos, text, images, and designs, are owned by LuxeRx, its affiliates, or licensors. You must not reproduce, duplicate, copy, or distribute any material from the Services without our prior written consent.

SECTION 7 - THIRD-PARTY LINKS AND AFFILIATES

The Services may contain materials and hyperlinks to websites provided by third parties. LuxeRx is not responsible for examining or evaluating the content or accuracy of third-party sites. Please review the third-party's policies carefully before you engage in any transaction.

SECTION 8 - RELATIONSHIP WITH SHOPIFY

LuxeRx is powered by Shopify. Any sales and purchases you make in our store are made directly with LuxeRx. You hereby expressly release Shopify and its affiliates from all claims, damages, and liabilities arising from or related to your purchases and transactions with LuxeRx.

SECTION 9 - ERRORS, INACCURACIES, AND OMISSIONS

We reserve the right to correct any typographical errors, inaccuracies, or omissions, and to change or update information or cancel orders if any information is inaccurate at any time without prior notice (including after an order has been submitted).

SECTION 10 - DISCLAIMER OF WARRANTIES; LIMITATION OF LIABILITY

EXCEPT AS EXPRESSLY STATED BY LUXERX, THE SERVICES AND ALL PRODUCTS ARE PROVIDED 'AS IS' AND 'AS AVAILABLE'. IN NO CASE SHALL LUXERX, OUR DIRECTORS, OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INJURY, LOSS, CLAIM, OR ANY DIRECT, INDIRECT, INCIDENTAL, PUNITIVE, SPECIAL, OR CONSEQUENTIAL DAMAGES OF ANY KIND ARISING FROM YOUR USE OF THE SERVICES OR ANY PRODUCTS PROCURED THEREIN.

SECTION 11 - GOVERNING LAW AND JURISDICTION

These Terms of Service and any separate agreements whereby we provide you Services shall be governed by and construed in accordance with the laws of the State of Georgia, USA. You and LuxeRx consent to exclusive jurisdiction and venue in the state and federal courts serving Fayette County, Georgia.

SECTION 12 - FRAUDULENT CHARGEBACKS AND PROSECUTION

Definition of Friendly Fraud: A "Friendly Fraud" or fraudulent chargeback is defined as the act of a customer or their authorized AI agent intentionally disputing a valid transaction with their bank, despite having received the goods or services as described.
Right to Recover: LuxeRx reserves the right to pursue all available legal remedies, both civil and criminal, to recover the full amount of the transaction, plus any chargeback administrative fees ($15–$50 USD per instance), collection costs, and reasonable attorney’s fees incurred in the recovery of funds.
Criminal Prosecution: Under Georgia Code § 16-8-3 (Theft by Deception) and federal wire fraud statutes, the intentional misrepresentation of a transaction to a financial institution for the purpose of obtaining goods without payment is a punishable crime. LuxeRx reserves the right to report confirmed fraudulent chargebacks to law enforcement authorities, including the Tyrone Police Department, the Georgia Bureau of Investigation (GBI), and the FBI Internet Crime Complaint Center (IC3).
Evidence of Authorization: By using this site, you acknowledge that:
- AP2 Mandates: Any transaction initiated via an AI agent utilizing the Agent Payments Protocol (AP2) constitutes a cryptographically signed, legally binding authorization that will be used as primary evidence in any dispute.
- Proof of Delivery: Carrier tracking data marked as "Delivered" to the address provided at checkout shall serve as conclusive proof of fulfillment.
- Insurance Forfeiture: If you decline optional shipping insurance, you expressly waive your right to dispute a charge based on theft (porch piracy) or carrier loss.
Reporting to Fraud Databases: We share data regarding fraudulent chargebacks with global merchant protection networks. Filing a false claim may result in your inclusion on a merchant protection blacklist, preventing future purchases at LuxeRx and participating online retailers.

SECTION 13 - FREE GIFT WITH PURCHASE (GWP) POLICY

General Terms & Eligibility:
- Free gifts are added at checkout on qualifying orders that meet specified promotional criteria (e.g., spending thresholds or promo codes).
- All free gifts are available for a limited time only, while supplies last. LuxeRx reserves the right to substitute a free gift with an item of equal or greater value if advertised inventory is depleted.
- Free gifts are limited to one (1) per customer/household per qualifying transaction.
Order Cancellations & Address Modifications:
- In accordance with our main store policy, if an order with a free gift is canceled prior to processing (e.g., for an address reorder), the free gift reservation is also voided.
- Once a tracking number has been generated, orders—including any included free gifts—cannot be canceled or modified.
Returns & Damaged Gifts:
- Free gifts cannot be exchanged, returned, or redeemed for cash, store credit, or alternative items.
- If your main order arrives damaged or defective, notify us within 48 hours of carrier delivery at help@luxerx.shop. If a free gift arrives damaged, a replacement gift will be issued subject to inventory availability. No cash value or substitute credit is offered for promotional items.
Exclusions:
- Free gift spending thresholds are calculated on the subtotal after discounts are applied and before taxes and shipping charges.
